Title: Requires Public Companies to have a Gender-Diverse Board of Directors
Vote to pass a bill that requires public companies to maintain a gender-diverse board of directors.
Requires each public company, with specific exceptions, to have a gender-diverse board of directors no later than January 1, 2022 (Sec. 1).
Specifies that a public company is considered to have a gender-diverse board of directors if, for at least 270 days of the fiscal year preceding the applicable annual meeting of shareholders, individuals self-identified as women comprised at least 25 percent of the serving directors (Sec. 1).
Specifies that if a public company does not meet the above requirements by the specified date, the public company must deliver to its shareholders a board diversity discussion and analysis (Sec. 1).
